SaaS License Agreement

This Software as a Service (SaaS) License Agreement (“Agreement”) governs the access, subscription, licensing, and lawful use of Salsabeel ERP, provided by Al-Bari Technologies (“Company”, “We”, “Us”, “Our”), by the customer (“Client”, “User”, “Subscriber”, “You”). By subscribing to or using Salsabeel ERP, you agree to comply with this Agreement, our Terms & Conditions, Privacy Policy, and all related service policies. This agreement exists to define ownership, usage rights, responsibilities, and legal boundaries—not to create confusion later.

1. Software Ownership

Salsabeel ERP, including all software modules, source code, workflows, architecture, documentation, branding, dashboards, reports, integrations, and proprietary systems, remains the exclusive intellectual property of Al-Bari Technologies. This Agreement grants access rights only. It does not transfer:

  • ownership
  • copyright
  • source code rights
  • resale rights
  • white-label rights (unless separately agreed in writing)

Using software does not mean owning the software.

2. License Grant

We grant the customer a:

  • Limited
  • Non-Exclusive
  • Non-Transferable
  • Revocable
  • Subscription-Based License

to access and use Salsabeel ERP according to the selected service plan and agreed subscription terms. License access depends on:

  • active subscription status
  • payment compliance
  • service agreement scope
  • user limits
  • branch limits
  • module access permissions

Access rights are tied to the agreement, not personal assumptions.

3. Permitted Use

Customers may use the software for legitimate internal business operations including:

  • sales and POS management
  • inventory control
  • accounting and finance
  • HR and payroll
  • CRM and customer operations
  • manufacturing workflows
  • healthcare, education, hospitality, and service modules
  • reporting and business intelligence
  • operational management across branches

Use must remain within the licensed subscription scope.

4. Prohibited Actions

Customers may NOT:

  • copy, duplicate, or redistribute the software
  • reverse-engineer, decompile, or extract source code
  • attempt unauthorized access to servers or infrastructure
  • resell, sublicense, or commercially exploit the platform
  • use the software to build competing ERP systems
  • bypass licensing controls or subscription restrictions
  • misuse APIs beyond authorized limits
  • remove ownership notices or intellectual property identifiers

Violation may result in immediate suspension, termination, and legal action.

This is business protection, not harshness.

5. Subscription Scope

License access depends on the selected plan and may include limits on:

  • number of users
  • number of branches
  • module availability
  • API access
  • integrations
  • dedicated support
  • cloud storage capacity
  • reporting access
  • enterprise customization

Additional access beyond the subscribed plan requires formal upgrade.

“Assumed access” is not contractual access.

6. Customer Data Rights

Customers retain full ownership of their business data including:

  • inventory records
  • customer databases
  • supplier records
  • employee information
  • financial records
  • reports and operational history

Al-Bari Technologies does not claim ownership of customer business data.

We act only as the service provider and data processor.

Ownership of your data remains yours. Ownership of the software remains ours.

7. Payment Obligations

License access requires timely payment of:

  • subscription fees
  • implementation charges
  • additional user licenses
  • branch extensions
  • dedicated support plans
  • API integrations
  • custom development work
  • hosting and cloud infrastructure services

Failure to pay may result in:

  • restricted access
  • service suspension
  • delayed support
  • license termination

Outstanding balances remain payable.

Software access is a licensed service—not permanent ownership after first payment.

8. Updates & Improvements

During active subscription periods, customers may receive:

  • system updates
  • security patches
  • maintenance improvements
  • performance optimization
  • standard feature enhancements

Major custom development, enterprise-specific features, and special integrations may require separate agreements.

Not every request becomes a free product roadmap.

9. Support & Maintenance

Support services are governed by our Support & Maintenance Policy and Service Level Agreement (SLA).

Response times, maintenance scope, and support availability depend on:

  • subscription plan
  • enterprise agreements
  • dedicated support arrangements

Professional support is structured, not unlimited on-demand messaging.

10. Suspension & Termination

We reserve the right to suspend or terminate license access where:

  • payments remain overdue
  • misuse or abuse occurs
  • terms are violated
  • fraud or security risks are identified
  • unauthorized system access is attempted
  • contractual obligations remain unresolved

Termination does not remove outstanding financial obligations.

11. Limitation of Liability

We are not liable for:

  • customer-side operational mistakes
  • internal misuse by staff
  • unauthorized credential sharing
  • customer hardware failures
  • internet disruptions
  • third-party service outages
  • indirect financial losses
  • business interruption caused by external factors

Where legally permitted, total liability is limited to the fees paid within the previous 12 months.

ERP software supports decisions. It does not replace business responsibility.

12. Confidentiality

Both parties agree to protect confidential business information exchanged during implementation, support, and service delivery.

Customer data, business workflows, financial information, and operational records will be handled with strict confidentiality standards.

Trust requires discipline.

13. Governing Law

This Agreement is governed by the laws of Pakistan.

Any disputes arising under this Agreement shall be resolved under the jurisdiction of the courts of Lahore, Pakistan.

Clarity avoids unnecessary legal drama.

14. Agreement Updates

We may update this Agreement when necessary due to:

  • legal requirements
  • compliance obligations
  • operational improvements
  • pricing structure changes
  • infrastructure evolution

Updates may be communicated through:

  • email
  • dashboard notifications
  • system announcements

Continued use of the Services after updates means acceptance of revised terms.
